Scentia Learning website use agreement

This agreement governs use of the Scentia Learning website. It exempts Scentia Learning and other persons from liability or limits their liability and contains other important provisions that you should read. By using the website, you acknowledge and signify that you have read, understand and agree, without limitation or qualification, to be bound by this agreement.

1. Your acceptance of this agreement

This is an agreement between you (and any legal entity on whose behalf you are using the Scentia Learning website) and Scentia Learning regarding your access to and use of the Scentia Learning website and the content, information, and services available on or through it (the “Website”). Each time you use the Website you signify that you unconditionally accept and agree to be bound by this agreement as it then reads. If you are using the Website on behalf of a legal entity, you represent and warrant that you have full legal authority to do so. If you do not accept and agree, you (and the entity, if applicable) may not access or use the Website. In this agreement, “User” refers to you and any legal entity on whose behalf you are using the Website.

2. Purpose of the Website; no affiliation with CIRO

The Website provides informational and educational content, including courses and preparation resources related to examinations administered by the Canadian Investment Regulatory Organization (“CIRO”). Scentia Learning is not affiliated with, endorsed by, or sponsored by CIRO. References to CIRO are solely for descriptive purposes regarding exam preparation. The Website does not provide investment, financial, tax, accounting, or legal advice. You are responsible for obtaining appropriate professional advice before acting or omitting to act based on any information obtained on or through the Website.

3. Eligibility and permission to use the Website

The Website may be accessed by individuals preparing for CIRO certification or otherwise interested in Scentia Learning’s educational services. While our audience is primarily located in Canada, the Website may be accessible worldwide. User is solely responsible for determining whether their use of the Website is lawful and must comply with all laws applicable in their jurisdiction. By using the Website, User represents and warrants eligibility to do so.

4. Scope of agreement and other agreements

This agreement governs User’s use of the Website and is the entire agreement between User and Scentia Learning relating to such use. It supersedes all previous agreements, written, oral, or otherwise, regarding the Website. This agreement supplements any other written agreements that User may have with Scentia Learning concerning other services. If there is any inconsistency, this agreement governs access to and use of the Website; other agreements govern all other matters.

5. Changes to this agreement

Scentia Learning may change, supplement, or amend this agreement at any time as it relates to User’s future use of the Website, without prior notice or liability, by posting the revised agreement on the Website. Each use of the Website signifies acceptance of the revised agreement. User may not change or amend this agreement in any manner.

6. No advice / verbatim reporting

The Website is for informational and educational purposes only and is not a comprehensive or detailed statement concerning the matters addressed. It does not contain professional, financial, investment, tax, accounting, or legal advice. Any materials (including lessons, quizzes, webcasts, or other content) are provided “as is” for learning purposes. User is responsible for seeking qualified professional advice where appropriate.

7. Permitted use of the Website

The Website is made available for User’s lawful, personal, or professional use only, in connection with education and exam preparation. User may use the Website only as expressly permitted in this agreement and subject to all applicable laws. Using the Website for any other purpose (including commercial reselling, scraping, data mining, or solicitation) is strictly prohibited.

• User may print pages of the Website for personal study, provided content is unaltered and all notices remain intact.
• The Website and its content may not be copied, reproduced, uploaded, posted, transmitted, or distributed in any way without Scentia Learning’s prior written consent.
• User will not: (a) circumvent the Website’s structure or security; (b) interfere with its performance; (c) attempt to gain unauthorized access; (d) tamper with security; or (e) authorize or encourage others to do so.

8. Accounts, registration, and payments

Certain areas of the Website may require registration and creation of an account. User agrees to provide accurate, current, and complete information. User is responsible for maintaining the confidentiality of login credentials. If unauthorized use is suspected, notify us promptly.

Paid offerings (e.g., full courses) may be processed through third-party providers such as Stripe. By purchasing, you agree to the applicable payment terms. Scentia Learning does not store full payment card details. Access to paid content may be revoked for chargebacks, fraud, policy violations, or non-compliance with this agreement.

9. Disclaimers

User accesses and uses the Website at their own risk. The Website is provided on an “as is” and “as available” basis, without warranties or conditions of any kind, express or implied. Scentia Learning does not warrant uninterrupted access, accuracy, completeness, or error-free operation. Any reliance is at User’s own risk.

10. Liability exclusions, limitations, and indemnity

Exclusions. To the maximum extent permitted by law, under no circumstances will Scentia Learning be liable for any damages (including direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of income) arising from or related to the Website or this agreement.

Limitations. If Scentia Learning is liable, total liability will not exceed $10 CAD. User releases Scentia Learning from all liability in excess of that amount.

Indemnity. User will indemnify and hold Scentia Learning harmless from all liabilities, expenses, and costs (including reasonable legal fees) arising from User’s use of the Website, breach of this agreement, or wrongful conduct.

11. Proprietary rights

The Website (including course materials, text, graphics, video, audio, documents, images, software, and other elements) is the property of Scentia Learning and/or its licensors, protected by law. Your use does not give you rights in the Website. All rights not expressly granted are reserved.

“Scentia Learning” and related logos are trademarks of Scentia Learning. “CIRO” and related marks are trademarks of the Canadian Investment Regulatory Organization. Any use of third-party marks is prohibited unless authorized.

If User provides feedback, Scentia Learning may use it for any purpose without compensation or attribution.

12. Third-party sites

The Website may include links to other sites (“Other Sites”). Other Sites are independent from Scentia Learning; we do not control or endorse them. Use of Other Sites is at User’s own risk. Section 10 applies to such use.

13. Linking, framing, scraping, and data mining

Unless expressly permitted in writing, any linking to the Website must: (a) be a text-only link clearly marked “Scentia Learning Home Page”; (b) point to https://scentialearning.com/; (c) not damage Scentia Learning’s goodwill or suggest affiliation; and (d) display the Website in full-screen. Scentia Learning may revoke permissions at any time. Framing, mirroring, scraping, or data mining is prohibited.

14. Changes, suspension, termination

Scentia Learning may change, discontinue, restrict, suspend, or terminate the Website at any time without notice or liability. User’s permission to use the Website may be suspended or terminated immediately. Upon termination, this agreement continues to apply to prior use.

15. Governing law and dispute resolution

This agreement, User’s access to and use of the Website, and all related matters are governed by the laws of Ontario, Canada, and federal laws of Canada. Disputes will be resolved before the courts of Ontario, sitting in Toronto. User submits to such jurisdiction.

16. Other matters

If any provision is held invalid, the remainder will continue in effect unless the agreement fails in its essential purpose. This agreement is binding on Scentia Learning and its successors, assigns, and related persons, and on User and their heirs, executors, administrators, and permitted assigns. User may not assign this agreement. Scentia Learning may assign without consent. No waiver is effective unless in writing.

Headings are for reference only. Words importing the singular include the plural. “Including” means “including without limitation”.

Language: The parties have requested that this agreement and related documents be drawn up in English. Les parties ont expressément exigé que le présent contrat et tous les documents qui s’y rapportent soient rédigés en anglais.
